Terms of Service
Here are the terms of service that apply to all projects. Please take the time to carefully review them. If you have any concerns or questions, feel free to reach out so we can discuss any necessary adjustments.
Payments & Invoicing
A 50% deposit is required before any work on your project can commence. An invoice will be issued for this deposit, with payment expected within 30 days of the invoice date. By submitting the deposit, you acknowledge and accept these terms of service, thereby entering into a contractual agreement with Conboy Design LTD.
The remaining balance for the project will be invoiced before the delivery of any final files or exports. I reserve the right to withhold delivery of final assets until the full payment has been received.
If the client is unresponsive for more than 30 days, I reserve the right to issue the final invoice early and consider the project paused or abandoned.
Payment plans may be requested and will be considered at my discretion. Any such arrangement must be agreed upon in writing by both parties.
All payments are due within 30 days of the invoice date. If a payment remains unpaid beyond 30 days, I reserve the right to charge for any fees incurred during the collection or recovery process.
Ownership & Usage Rights
All preparation materials, concepts, sketches, visuals, and electronic files created during the project remain the sole property of Conboy Design LTD. Ownership of the final artwork and digital files will be transferred to you upon final payment.
Until the final payment is received, all designs and concepts remain the exclusive property of Conboy Design LTD.
If the final payment is not received, I reserve the right to reuse or adapt previously presented concepts in future projects or display them as conceptual work.
If the client attempts to use, replicate, alter, or misappropriate any design ideas without fulfilling the agreed-upon final payment, legal action will be taken.
Conboy Design LTD retains the right to showcase any artwork, visuals, ideas, or sketches from this project as examples of client work—typically after completion, though not exclusively.
Unless otherwise agreed (e.g. via a non-disclosure agreement), I assume permission to display the work publicly across my portfolio, website, social media, and other promotional platforms. If confidentiality is required, please let me know in advance.
Final payment grants exclusive rights only to the final approved design. Any unused ideas or earlier concepts remain the property of Conboy Design LTD. I reserve the right to reuse or adapt these in future projects, ensuring sufficient differentiation to avoid conflicts.
Usage Restrictions
By agreeing to these Terms of Service, you acknowledge that you do not obtain any rights to use, modify, alter, or reproduce any previous concepts, sketches, or materials presented by me. All original preparation materials, visuals, and unused ideas remain the exclusive property of Conboy Design LTD.
Supporting artwork and designs created for this project may also be used in my portfolio or for promotional purposes unless otherwise agreed.
You are free to change, modify and adapt the final design as you see fit, but you do so at your own risk.
Fonts & Licensing
Any fonts or typefaces used in the project are subject to commercial licensing laws. Where relevant, I’ll provide details of the typefaces and links to purchase them. However, it is your responsibility to acquire appropriate licenses under your own name.
I cannot provide you with copies of licensed fonts.
In most cases, logo designs don’t require font licensing since they’re converted to vector artwork. However, if you intend to use the same fonts for other materials (e.g. print, digital, or web), you will need to obtain the appropriate license.
Trademark & Copyright
Trademark and copyright registration is a complex, time-consuming, and costly process. Therefore, I am unable to provide any practical help with this.
If you require the logo to be registered as a trademark, you must seek legal advice independently.
Name Availability
You are responsible for ensuring that your business or product name is legally available before the project begins. I am not liable for any legal issues that may arise from the name you provide.
No refunds will be issued in the event of complications with the chosen name.
Changing your business name during a project may incur additional costs, cause delays, and complicate the design process—so please ensure the name is final before we begin.
Project Cancellation & Suspension
If the client chooses to cancel the project after work has begun, all payments made (including the deposit) are non-refundable.
I reserve the right to suspend or terminate a project if the client demonstrates excessive micromanagement, a lack of cooperation, insufficient trust, or an inability to move forward after presenting a reasonable number of designs.
If well-considered design concepts—developed in line with the brief—are consistently rejected without clear direction or constructive feedback, I reserve the right to terminate the project and retain the initial deposit.
Fair notice will be given before any suspension or termination, allowing the client the opportunity to address any issues. However, no refunds will be issued, and all materials remain the property of Conboy Design LTD.
In the event of illness or an unforeseen personal circumstance that prevents me from completing the project, I will provide a refund—full or partial, depending on the amount of work completed. If the project can be continued by another designer, any work completed so far will be transferred and a partial refund provided.
If I am unable to fulfil my obligations due to events beyond my control (e.g. natural disaster, war, government restrictions, or other force majeure circumstances), this will not be considered a breach of the agreement. I will inform you promptly and resume work as soon as possible.
Limitation of Liability
By agreeing to these terms, you acknowledge that Conboy Design LTD is not liable for any loss, damage, or issues arising from the use of my services, including but not limited to errors or inaccuracies in the delivered materials.
Your use of, or reliance on, any designs, files, or assets provided is entirely at your own risk.
I guarantee that all work presented will be original and, to the best of my knowledge, free of plagiarism. I will make reasonable efforts to avoid infringement of third-party rights. However, I cannot guarantee that similar work does not exist or has not been created independently elsewhere.
You are advised to conduct your own legal due diligence regarding trademark, copyright, and originality before using any design in a commercial setting.
